Terms and Conditions

1. Permitted Use and Strict Limitations

Use of the Premises is strictly limited to private DJ instruction, DJ lessons, and small private DJ sessions or rehearsals only. Under no circumstances will the Premises be used for parties, public events, ticketed events, commercial gatherings, promotional activations, or any form of event open to the general public. Occupancy is strictly limited to a maximum of 6 persons total at any time, inclusive of the Customer. Groups larger than 6 persons require prior approval from HiFi and may be subject to an additional charge. Any deviation from permitted use, including any exceedance of occupancy limits or any activity deemed inconsistent with the intended use of a private DJ studio, will constitute a material breach of this Agreement and may result in immediate termination of access without refund, removal from the Premises, suspension of future booking rights, and liability for all resulting damages, losses, and expenses incurred by HiFi.

2. Age Requirements and Occupancy Responsibility

You represent and warrant that you are at least 18 years of age and legally capable of entering into this Agreement. Any individual under the age of 18 may only enter the Premises if accompanied at all times by a parent or legal guardian, who will assume full responsibility for their conduct and compliance with this Agreement. You are solely responsible for ensuring strict compliance with the maximum occupancy limit at all times, and any failure to enforce such limit will constitute a material breach giving rise to immediate termination and full liability for resulting damages or losses.

3. Full Responsibility for Persons, Conduct, and Premises

You accept and agree that you bear full and absolute responsibility for the Premises during your booking period, including all equipment, fixtures, furniture, infrastructure, and property located therein, as well as the conduct, acts, omissions, and behavior of all guests or invitees. You further acknowledge that you will be strictly liable for any and all damage, destruction, theft, loss, disappearance, misuse, or impairment of any HiFi property occurring during your booking period, regardless of cause, including but not limited to negligence, accident, intentional acts, misuse, or actions of third parties. This liability applies without limitation to all audio and DJ equipment, electronics, cabling, lighting, furniture, walls, floors, doors, HVAC systems, security systems, and any other property or systems within or associated with the Premises, and HiFi will not be required to establish fault, intent, or causation in order to assess or recover damages.

4. Authorization to Charge and Financial Liability

You expressly and irrevocably authorize HiFi Studios LLC to charge any payment method used in connection with your booking for any amounts arising out of or related to your use of the Premises, including but not limited to repair costs, replacement costs, cleaning fees, damage remediation, security callouts, administrative fees, overtime charges, unauthorized occupancy fees, enforcement costs, and any other losses, damages, or expenses incurred by HiFi as a result of your conduct or breach of this Agreement. You agree that HiFi may charge the full cost necessary to repair or restore damaged property to its prior condition or to replace such property with functionally equivalent items of comparable quality, as determined in HiFi's sole discretion. You further agree that such authorization is continuing, survives the completion of your booking, and may be exercised without further notice or approval.

5. Cleanliness, Condition, and Damage Prevention

You agree to maintain the Premises in a clean, orderly, and safe condition at all times and to ensure that all rubbish, debris, and personal property are removed upon departure. You will ensure that no liquids are placed near equipment, that all spills are immediately cleaned, and that the Premises are returned in substantially the same condition as received. Any failure to comply, including excessive mess, staining, odor, or required deep cleaning, will result in additional charges determined by HiFi in its sole discretion.

6. Prohibited Conduct, Substances, and Safety Rules

The possession, use, or distribution of smoking or vaping devices, alcoholic beverages, weapons of any kind, illegal drugs, controlled substances, or any other prohibited items is strictly prohibited anywhere on the Premises or within the building. Any violation of this section, or any conduct deemed unsafe, disruptive, or otherwise inappropriate in HiFi's sole discretion, will constitute grounds for immediate termination of access and full liability for resulting damages or enforcement costs.

7. Conduct, Noise, and Community Standards

You agree to ensure that all conduct by you and your guests remains lawful, respectful, and non-disruptive at all times. You acknowledge that you are responsible for maintaining reasonable noise levels within and outside the Premises and for ensuring respectful behavior toward neighboring tenants, businesses, and the surrounding community. You further agree that HiFi may determine, in its sole discretion, whether any behavior is disruptive, unsafe, or inappropriate, and may terminate access immediately without refund if such behavior occurs.

8. Security, Access Control, and Monitoring

All access credentials, keys, codes, and entry instructions remain the exclusive property of HiFi and must not be shared, disclosed, or transferred to any unauthorized individual. You are solely responsible for securing all entry points during your booking and preventing unauthorized access. You will not tamper with or interfere with any security systems, surveillance equipment, fire safety systems, alarms, or infrastructure. Any breach of this section will result in immediate liability for all resulting damages, including consequential losses and enforcement costs.

9. Time Limits and Overstaying

You agree that your booking is strictly limited to the reserved time period and that you and all guests will vacate the Premises immediately upon expiration. Any overstay will be charged at HiFi's applicable rates, which may include partial-hour or full-hour increments as determined solely by HiFi, and may also result in additional breach-related charges and suspension of future booking privileges.

10. Personal Property

You acknowledge and agree that all personal property brought onto the Premises is done so entirely at your own risk. HiFi will have no liability whatsoever for any loss, theft, damage, or disappearance of personal property belonging to you or any guest under any circumstances, regardless of cause.

11. Assumption of Risk and Release of Liability

To the maximum extent permitted by applicable law, you voluntarily assume all risks associated with your use of the Premises and its equipment. You hereby release, waive, and discharge HiFi Studios LLC, including its members, managers, owners, employees, agents, contractors, and affiliates, from any and all claims, liabilities, damages, injuries, losses, or expenses arising out of or related to your use of the Premises, including the actions of any guests or third parties.

12. Indemnification

You agree to fully indemnify, hold harmless, and pay the full defense costs of HiFi Studios LLC and its members, managers, owners, employees, contractors, agents, affiliates, successors, and assigns from and against any and all claims, demands, causes of action, liabilities, damages, losses, penalties, fines, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to your use of the Premises, the conduct of you or your guests, any breach of this Agreement, any damage to property, any injury to persons, or any violation of applicable law occurring in connection with your booking. This indemnity applies regardless of whether such claims are asserted by you, your guests, or any third party.

13. Termination and Right of Removal

HiFi reserves the absolute right, in its sole discretion and without liability, to refuse entry, terminate any booking, remove any individual from the Premises, or suspend or prohibit future bookings at any time where HiFi determines such action is necessary for safety, security, operational integrity, enforcement of rules, or protection of property or persons. No refund will be required in connection with such termination where a breach of this Agreement or unsafe conduct has occurred.

14. Entire Agreement and Acknowledgment

This Agreement constitutes the entire understanding between you and HiFi with respect to use of the Premises and supersedes any prior oral or written statements or representations. By booking, entering, or using the Premises, you acknowledge that you have read, understood, and voluntarily agreed to be bound by this Agreement, including all liability, indemnity, and financial responsibility provisions contained herein.

15. Modification of Terms and Customer Duty to Review

HiFi reserves the absolute right, in its sole and exclusive discretion, to amend, update, modify, supplement, or replace this Agreement at any time, with or without prior notice, to the fullest extent permitted by law. You acknowledge and agree that it is your sole responsibility to periodically review the then-current version of these terms prior to each use of the Premises. Any continued booking, entry, access, or use of the Premises by you or your guests following any modification of this Agreement will constitute your full, binding, and irrevocable acceptance of such modified terms as then in effect. You further agree that if you do not agree to any current or updated version of this Agreement, your sole and exclusive remedy is to immediately cease all use of the Premises and provide written notice to HiFi of your non-acceptance prior to any further booking or entry. Failure to provide such written notice, and/or continued use of the Premises in any capacity following implementation of updated terms, will constitute conclusive evidence of your acceptance of such updated terms and your agreement to be legally bound by them.

16. Text Messages (SMS)

HiFi Studios LLC, doing business as The HiFi Studios, may send booking texts and, separately, promotional texts, but only to customers who have opted in to that type. SMS consent is optional, is not a condition of booking or purchasing any session, and is separate from your acceptance of this Agreement. Providing a phone number does not enroll you in text messages. Message frequency varies. Message and data rates may apply. Reply STOP to opt out or HELP for help, or manage your preferences on your account page.

Carriers are not liable for delayed or undelivered messages. You can cancel the SMS service at any time by texting STOP to the number you received messages from; after you send STOP, we will send you a confirmation that you have been unsubscribed, and you will no longer receive SMS messages from us.
